These Terms of Service ("Terms") govern your access to and use of the JurisDrop website and secure file transfer services (the "Service") provided by JurisDrop Inc. ("JurisDrop," "we," or "us").

Please read these Terms carefully. By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

1. The Service

JurisDrop provides a software-as-a-service platform that allows registered legal professionals ("Subscribers") to receive files, documents, and other information ("Content") from their clients ("End-Users") through a secure, non-public upload portal.

2. Subscriber Accounts

You must be a licensed legal professional or an authorized agent of a law firm to create a Subscriber account. You are responsible for:

  • Mandatory Security & SMS Consent: To ensure the highest level of protection for your client data, JurisDrop enforces mandatory Two-Factor Authentication (2FA). By creating an account, you explicitly consent to receive SMS text messages containing security verification codes for login validation. This critical safeguard ensures that access to your digital vault remains strictly under your control. Message frequency varies based on your login activity.
  • Maintaining the confidentiality of your account password.
  • All activities that occur under your account.
  • Ensuring that your use of the Service complies with all applicable laws, regulations, and ethical rules of professional conduct.

3. Subscriber Content & Responsibilities

You own your Content. We claim no ownership rights over the Content you or your End-Users upload to the Service.

By using the Service, you grant us a limited, worldwide, non-exclusive license to host, store, encrypt, and transmit your Content *solely* for the purpose of providing the Service to you.

You are solely responsible for your Content and your interactions with your End-Users. You represent and warrant that:

  • You have all necessary rights and consents (including from your End-Users) to collect, store, and process the Content.
  • Your use of the Service, and the Content you collect, does not violate any laws or ethical obligations, including but not limited to those governing attorney-client privilege, data privacy, and Protected Health Information (PHI) under HIPAA.

Note: JurisDrop is a tool. We are not a party to your attorney-client relationship and have no liability or responsibility for your professional duties or potential malpractice.

4. Fees and Payment

  • Subscriptions: The Service is billed on a subscription basis (e.g., monthly or annually). You agree to pay all applicable fees as described on our Pricing page.
  • Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings or by contacting us.
  • Cancellations: You may cancel your subscription at any time. The cancellation will take effect at the end of the current billing period. Fees are non-refundable.
  • Price Changes: We reserve the right to change our prices. We will provide you with at least 30 days' notice of any price increase.

5. Acceptable Use

You agree not to use the Service to:

  • Upload, store, or transmit any Content that is unlawful, harmful, threatening, defamatory, or obscene.
  • Violate any person's intellectual property or privacy rights.
  • Transmit any viruses, malware, or other malicious code.
  • Attempt to gain unauthorized access to our systems or another user's account.

6. Termination

You can terminate these Terms at any time by canceling your subscription and ceasing to use the Service.

We may suspend or terminate your account and access to the Service at any time, without prior notice, if you breach these Terms or use the Service in a manner that we believe could cause us legal or technical liability.

Upon termination, your right to use the Service will cease, and we will initiate the permanent deletion of your Content in accordance with our data retention policies.

7. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

IN NO EVENT SHALL JURISDROP INC., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOST PROFITS, DATA LOSS, OR PROFESSIONAL MALPRACTICE) ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT OF FEES YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

9. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes (e.g., by email or an in-app notice). Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
